HAHA!  figured it out!  I was able to get WIN95 installed on the 4000M 
and have sound and have APM.  Do as the TI install doc says, but make 
sure that the line in the config.sys file reads:
DEVICE=C:/UTILS/BATTERY.PRO /L2 /S0
                           ^^^^^^^^^^
THE SWITCHES ARE VITAL.	  After you've installed, make sure APM in in 
your system devices.  if it's not, do an "add new hardwar" and let it 
detect and add APM.  everything seems to work.  

I've got to thank Chris from laptop tech support.  He was courteous, 
kind, and really went the extra mile.  All that on Chrismas day!!!  
Thanks Chris!  I'm exrtemely happy with TI in general if I may so plug.
