ASSIGNMENT OF COPYRIGHT IN GNU EMACS REVISED FILES


For $1 and other good and valuable consideration received from 
Free Software Foundation, a not-for-profit corporation of the 
state of Massachusetts, hereinafter "FSF"  the undersigned 
"Developer" does hereby agree as follows:

1.(a)     Developer hereby agrees to assign and does hereby 
assign to FSF Developer's copyright in modified files of FSF-
programs including copyrighted materials of FSF acquired through 
authorship by or for FSF or via donations or other grants to FSF, 
subject to a reservation by Developer of its copyright in program 
or data base material to the extent used independently of FSF-
programs -- such reservation to be implemented by all practical 
means including good faith separate identification of works of 
authorship where appropriate and/or license  back from FSF to 
Developer where appropriate, upon request by Developer.

(b)       The assignment of par. 1(a) above applies to past and 
future works of Developer; of Developer's employees, consultants 
and other affiliates and acquired works of Developer where the 
work is a modification of an FSF-program and Developer has 
sufficient rights to make the assignment of par. 1(a).

(c) FSF-programs are those 
(c1) in which FSF holds copyright and/or
(c2) those developed by or acquired by or licensed to FSF,
and utilized consistent with the FSF charter of sharing software.

FSF programs include -among others- GNU EMACS, GNU CC, GAS, GDB.

2.  Developer further agrees to use its best efforts to cause persons
developing on behalf of Developer modifications to FSF-programs and
new files usable in FSF-programs to assign copyright of such persons
to FSF or Developer.

3.(a)     The parties shall execute such documents and undertake 
such acts as may be requested by the other to implement the 
letter and spirit of this agreement and any conveyance stated 
herein, subject to a limitation of reasonableness of such request 
with attention to cost and time burdens imposed thereby.

(b)       The undertakings in par. 3(a), above, are without 
prejudice to the conveyances made through this assignment 
document.  The intention of FSF and Developer is that this 
assignment document will be supplemented, rarely -if at all, by 
other documents.

4.        Developer will also provide, upon request of FSF, such 
data as Developer knows or can access readily as to the origins 
of the works of Developer, or acquired by Developer, which are 
assigned to FSF through this instrument.

5.        This agreement and all conveyances made pursuant hereto 
are deemed made in Massachusetts, this agreement and all such 
conveyances being deemed made under seal, as of the date of 
fixation of any work covered hereby in tangible form and, also, 
as of the date of execution of this agreement by Developer.
