Typo in Question 3 - Please Note

Hi Everyone,

One quick note on the exam - In question 3, the description of the German company bid should be:

"German company G is offering to buy 100% of the outstanding voting shares of C at 11 Euros per share -- comprised of 7 Euros in cash and voting shares of G with a current trading value of 4 Euros per share."

... where the voting shares for 4 euros that are part of the offer are from Company G, not C.

Please excuse the typo.

Final Exam Posted to Stellar: Available at 1:30pm

Hi Everyone,

The Final Exam for 15.S09 has been posted to Stellar under Homework --> Final Exam. It will be available for download at 1:30pm EST.

Please download a copy, save it and carefully read and complete both the cover sheet and the exam questions. When you are done with the exam, upload your saved document to Stellar.

The final exam document is due at 4:30pm.

Breakfast on Wednesday, Q&A Session on Friday

Hi Everyone,

A few things to note as we approach the end of the course:

Bob is bringing breakfast in on Wednesday morning to celebrate the end of the semester - coffee, bagels, etc. If you have any dietary restrictions, please let me know!

Practice questions will be distributed on Wednesday during class. They will also be posted to Stellar on Wednesday.

The Q&A Session is scheduled for Friday, May 15th at 3pm in E51-335. The session will be recorded and the recording will be available on Stellar by Saturday morning.

The final exam is scheduled for Tuesday, May 19th, from 1:30pm to 4:30pm. The exam will be administered via Stellar. You are welcome to take the exam from anywhere you like, as long as it is completed by 4:30pm EST. I will be in E62-250 for the duration of the exam if you would like to take it from a quiet location on campus.

If you have any questions or concerns, please don't hesitate to contact me.

Note about class tomorrow

Hi Everyone,

Professor Pozen has asked several students to play roles in a mock trial that we will hold tomorrow in class. These people should prepare their oral presentations -- no slides please. But they do NOT have to submit anything in advance of the class.

Final Exam Q&A and New Study Questions for Session 10

Hi Everyone,

Bob will be holding a Q&A session in preparation for the final exam on Friday May 15th at 3pm. I will publish details on where the session is being held once I have that information.

In addition, please note that the study questions for Session 10 have been revised on the syllabus on Stellar. Please see the study questions for your reference below:

1. Looking at the cap table at back of the case, how would you compare the economics of the deal offered by the two VCs from the perspective of the founders? How would you make this an apples-to-apples comparison?
2. a. After the initial capital infusion by one of the venture capitalists, how will the board be composed? b. How will the board’s decision making process differ from that in the dispersed shareholder model or family-state controlled model?
3. a. What are the key substantive and procedural ground rules for the day to day operations of WebTracker such as making a small acquisition or leasing a new building? b. How would decisions be made by WebTracker on hiring of employees, setting their compensation?
4. What are the rights of the venture capital firm—depending on which is selected—if WebTracker:
a. sells new equity to someone other than the venture capital firm?
b. launches an initial public offering for 25% of the company?
c. sells the whole company to a strategic buyer like Google?
